1. Acceptance of Terms
By installing, accessing, or using AutoReply for Zoom Phone (the "Service"), you ("User," "you," or "your") agree to be legally bound by these Terms of Use ("Terms") and our Privacy Policy, which is incorporated herein by reference. These Terms constitute a binding legal agreement between you and Auto Reply for Zoom ("we," "our," or "us").
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to that organization.
If you do not agree to these Terms, you must not install, access, or use the Service.
2. Description of Service
AutoReply for Zoom Phone is an application available through the Zoom App Marketplace that automatically sends SMS replies from your Zoom Phone number in response to missed calls, voicemails, and unanswered text messages. The Service includes:
- Automatic SMS replies triggered by missed calls and voicemails (Free and Pro)
- Automatic SMS replies triggered by unanswered incoming text messages (Pro only)
- Smart delay logic that suppresses replies if you respond before the delay period expires
- Configurable reply templates, business hours, delay timing, and message filters (Pro)
- A global pause toggle to suspend all auto-replies
The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, expand, or discontinue the Service or any feature thereof at any time, with or without notice.
3. Eligibility
To use the Service, you must:
- Be at least 18 years of age, or the age of majority in your jurisdiction
- Have a valid, active Zoom account with Zoom Phone enabled
- Have a Zoom Phone number that supports SMS/MMS messaging
- Have the legal authority to send automated SMS messages from that number under applicable laws and regulations
- Comply with all applicable federal, state, and local laws regarding automated messaging, including but not limited to the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act
By using the Service, you represent and warrant that you meet all of the foregoing eligibility requirements.
4. Account Registration and Authorization
Access to the Service is granted through Zoom's OAuth 2.0 authorization process. When you install and authorize the Service through the Zoom App Marketplace:
- You grant us permission to access your Zoom account data as described in our Privacy Policy and as disclosed during the OAuth authorization flow
- You are responsible for maintaining the confidentiality of your Zoom account credentials
- You are responsible for all activity that occurs through your authorized connection, whether or not you authorized it
- You agree to notify us immediately at support@autoreplyzoom.com if you suspect unauthorized access to or use of your account
We are not liable for any loss or damage arising from your failure to maintain the security of your account.
5. Subscriptions and Billing
Free Plan. The Service is available at no charge under the Free plan, which includes the features described on our pricing page. No payment information is required for the Free plan.
Pro Plan. The Pro plan is a paid subscription that provides additional features as described on our pricing page. Pro subscriptions are billed on a monthly basis at the published rate.
Billing through Zoom Marketplace. All payments for the Pro plan are processed exclusively through the Zoom App Marketplace. We do not collect or store your payment information directly. All billing, invoicing, and payment processing is handled by Zoom in accordance with Zoom's payment terms. By subscribing to the Pro plan, you also agree to Zoom's billing terms and conditions.
Subscription Renewals. Pro subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You authorize Zoom to charge the applicable subscription fee to your payment method on file with Zoom at the start of each renewal period.
Price Changes. We reserve the right to change subscription pricing at any time. We will provide reasonable advance notice of any price changes. Your continued use of the Pro plan after a price change takes effect constitutes your acceptance of the new pricing.
6. Free Trial
We may offer a free trial period for the Pro plan. During any free trial:
- You will have access to all Pro plan features at no charge for the duration of the trial
- Your payment method will not be charged until the trial period ends
- If you do not cancel before the trial period ends, your subscription will automatically convert to a paid Pro subscription and your payment method will be charged
- We reserve the right to modify or discontinue free trial offers at any time
- Free trials are available to new Pro subscribers only; we reserve the right to limit one free trial per user or organization
7. Cancellation and Refunds
Cancellation. You may cancel your Pro subscription at any time through the Zoom App Marketplace by navigating to Manage → Subscriptions. Cancellation takes effect at the end of your current billing period. After cancellation, your account will revert to the Free plan and you will retain access to Free plan features.
Refunds. Subscription fees are generally non-refundable, except as required by applicable law or as solely determined by us at our discretion. If you believe you are entitled to a refund, please contact us at support@autoreplyzoom.com within 14 days of the charge in question. Refunds, if approved, are processed through Zoom Marketplace and may take 5–10 business days to appear on your statement.
Termination by Us. If we terminate your account for violation of these Terms, you will not be entitled to a refund for any unused portion of your subscription.
8. Acceptable Use
You agree to use the Service only for lawful purposes and in compliance with these Terms. You agree not to:
- Use the Service to send unsolicited messages, spam, or any communications that violate the TCPA, CAN-SPAM Act, or any other applicable anti-spam or telecommunications law
- Use the Service for any unlawful, fraudulent, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable purpose
- Impersonate any person or entity or misrepresent your affiliation with a person or entity
- Attempt to gain unauthorized access to the Service, its infrastructure, or any related systems or networks
- Interfere with or disrupt the integrity, performance, or availability of the Service
- Attempt to reverse-engineer, decompile, disassemble, or otherwise derive the source code or underlying algorithms of the Service
- Resell, sublicense, lease, lend, or otherwise transfer access to the Service to any third party without our prior written consent
- Use the Service in any way that violates Zoom's Terms of Service or Developer Agreement
- Remove, obscure, or alter any proprietary rights notices on or within the Service
- Use automated scripts, bots, or other means to access or interact with the Service outside of its intended functionality
- Use the Service for any purpose that could expose us to legal liability or reputational harm
We reserve the right to suspend or terminate your access to the Service immediately if we believe, in our sole discretion, that you have violated any of the above restrictions.
9. Compliance with Messaging Laws
You acknowledge and agree that you are solely responsible for ensuring that your use of the Service complies with all applicable laws and regulations governing automated and commercial text messaging, including without limitation:
- The Telephone Consumer Protection Act (TCPA) and regulations promulgated thereunder
- The CAN-SPAM Act
- The California Consumer Privacy Act (CCPA) and similar state privacy laws
- Any applicable carrier guidelines or messaging industry standards (e.g., CTIA guidelines)
We do not provide legal advice. If you have questions about your compliance obligations, you should consult a qualified attorney. We shall not be liable for any fines, penalties, or damages arising from your failure to comply with applicable law.
10. Intellectual Property
The Service and all content, features, functionality, software, text, graphics, logos, and other materials that are part of the Service are owned by Auto Reply for Zoom or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any right, title, or interest in or to the Service or any of its intellectual property. You may not copy, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any part of the Service, except as expressly permitted by these Terms.
The AutoReply for Zoom Phone name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Auto Reply for Zoom. You may not use such marks without our prior written permission.
11. User Content
The Service allows you to create and store certain content, such as reply templates and configuration settings ("User Content"). You retain ownership of your User Content. By providing User Content to the Service, you grant us a limited, non-exclusive, royalty-free license to store, process, and transmit your User Content solely as necessary to provide the Service to you.
You represent and warrant that your User Content does not violate any applicable law, infringe any third-party rights, or violate these Terms. We are not responsible for the accuracy, completeness, or legality of any User Content you submit.
12. Third-Party Services and Integrations
The Service integrates with Zoom and relies on Zoom's APIs to function. The availability and functionality of the Service is dependent on Zoom's platform, policies, and API access. We do not control Zoom's platform and cannot guarantee uninterrupted availability of the Service if Zoom modifies, restricts, or discontinues API access.
Our Service may also interact with telecommunications carriers and SMS infrastructure providers. Delivery of SMS messages is subject to carrier policies, network conditions, and applicable regulations, and we cannot guarantee delivery of any particular message.
Your use of Zoom is governed by Zoom's own Terms of Service and Privacy Policy. We are not affiliated with, endorsed by, or sponsored by Zoom Video Communications, Inc.
13. Privacy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy. Our Privacy Policy is incorporated into these Terms by reference.
14. Service Availability and Modifications
We do not guarantee that the Service will be available at all times or without interruption. The Service may be temporarily unavailable due to maintenance, updates, technical failures, or factors outside our control. We will make reasonable efforts to notify users of planned downtime but are not obligated to do so.
We reserve the right to modify, update, or discontinue any aspect of the Service at any time without liability to you. Features available in the Free or Pro plans may change over time. We will provide reasonable notice of material changes that negatively affect paid subscribers.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
- WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS
- WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT OR RESULTS OBTAINED THROUGH THE SERVICE
- WARRANTIES THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED
- WARRANTIES REGARDING THE DELIVERY, TIMING, OR CONTENT OF SMS MESSAGES SENT THROUGH THE SERVICE
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AUTO REPLY FOR ZOOM, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY:
- INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES
- LOSS OF PROFITS, REVENUE, DATA, BUSINESS, OR GOODWILL
- COST OF SUBSTITUTE GOODS OR SERVICES
- DAMAGES ARISING FROM MISSED OR FAILED MESSAGE DELIVERY
- DAMAGES ARISING FROM YOUR RELIANCE ON THE SERVICE FOR TIME-SENSITIVE OR CRITICAL COMMUNICATIONS
WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
17. Indemnification
You agree to defend, indemnify, and hold harmless Auto Reply for Zoom and its officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation, including laws governing automated messaging
- Your User Content
- Any claim by a third party that they received an unwanted, unauthorized, or unlawful message sent through the Service via your account
- Your infringement of any intellectual property or other rights of any third party
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense of such claims. You may not settle any such claim without our prior written consent.
18. Termination
Termination by You. You may stop using the Service at any time by uninstalling or deauthorizing the app through the Zoom App Marketplace. To cancel a paid subscription, follow the steps described in Section 7 above.
Termination by Us. We may suspend or terminate your access to the Service, in whole or in part, with or without notice, for any reason, including without limitation if we reasonably believe that:
- You have violated these Terms
- Your use of the Service poses a risk to other users, to us, or to third parties
- You have failed to pay applicable subscription fees
- We are required to do so by law or regulation
- We have decided to discontinue the Service
Effect of Termination. Upon termination for any reason: (a) your right to access and use the Service will immediately cease; (b) we may delete your account data in accordance with our Privacy Policy; and (c) all provisions of these Terms that by their nature should survive termination shall survive, including without limitation, ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
19. Dispute Resolution
Informal Resolution. Before filing any formal legal claim, you agree to contact us at support@autoreplyzoom.com and attempt to resolve the dispute informally. We will try to resolve the dispute informally within 30 days of your notice. If the dispute is not resolved within that period, either party may proceed to formal dispute resolution.
Arbitration Agreement. Except for claims seeking injunctive or other equitable relief, any dispute, claim, or controversy arising out of or relating to these Terms or the Service that cannot be resolved informally shall be finally settled by binding arbitration administered by a recognized arbitration provider under its then-current rules. The arbitration shall be conducted in English. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Class Action Waiver. You agree that any arbitration or legal proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
Small Claims. Notwithstanding the foregoing, either party may bring an individual claim in small claims court if the claim qualifies.
20. Governing Law
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law principles. To the extent that any dispute is not subject to arbitration under Section 19, you consent to the exclusive jurisdiction and venue of the state and federal courts located in Texas for the resolution of such disputes.
21. Changes to These Terms
We reserve the right to revise these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. For significant changes, we may also provide additional notice, such as by sending an email to the address associated with your Zoom account or by displaying a notice within the Service.
Your continued use of the Service after any changes to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
We encourage you to review these Terms periodically to stay informed of your rights and obligations.
22. General Provisions
Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Auto Reply for Zoom regarding the Service and supersede all prior and contemporaneous agreements, representations, and understandings.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.
Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Auto Reply for Zoom.
No Assignment. You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign these Terms or any of our rights or obligations without restriction.
Force Majeure. We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including without limitation acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or telecommunications failures, or denial-of-service attacks.
Notices. All notices from you to us must be sent by email to support@autoreplyzoom.com. We may provide notices to you via email, through the Zoom app, or by posting on this website.
